How It Works

Build

We hire against your spec and standards, source office space if needed, and carry the full operation on Perpetum's entity and infrastructure, under a framework agreement. Quickly it becomes fully operational, fully compliant, ready to deliver from day one.

Operate

We run the back-end - payroll, compliance, HR administration, benefits, equipment, and performance oversight. You manage the work and the people directly. We handle everything that sits behind the scenes, in the local market, so you don't have to.

Transfer

When the operation is stable and you're ready to own it, we hand everything over. Entity setup or acquisition, contract novation, payroll handover, and local legal arrangements - all coordinated by Perpetum. You inherit a running operation, not a startup problem.

When does BOT make more sense than Turnkey Staff Augmentation?

Staff Augmentation is the right starting point for most companies – fast, flexible, and no long-term commitment. BOT makes sense when you’ve validated the market, you’re building 15+ people, and you know you want to own the operation outright within 2–3 years. It’s a strategic decision, not a hiring decision.

You do. IP created by your team during the Operate phase belongs to you – this is explicitly stated in the framework agreement. Perpetum holds the employment contracts but has no claim on any work product, code, or intellectual property your team produces.

Entity setup or acquisition, contract novation for all team members, asset transfer, payroll and HR handover, office allocation and customization (optional) and the local legal arrangements – all coordinated by Perpetum. The goal is a clean handover with no operational disruption on day one of ownership.

Yes – entity registration, banking setup, and local legal arrangements can all be handled as part of the Transfer phase. We work with established local counsel in each market to make the process as fast and clean as possible.

Recommended minimum team size is 10 people. A fixed-term commitment is required for the Operate phase – duration agreed at engagement start. BOT is a long-term partnership.

Yes – if you’re not ready to transfer, we continue operating under Staff Augmentation rules. There’s no pressure to transfer until the timing is right for your business.

We provide a post-transfer support period – duration agreed upfront – covering any operational questions, compliance issues, or HR matters that arise during the transition. You’re not handed the keys and left alone.

Yes – and this is a common path. Many BOT engagements start as Turnkey placements that grow into a team worth owning. If that’s the direction you’re heading, flag it early so we can structure the engagement with the transition in mind.
